Hosting Terms and Conditions

  1. Introduction

These Hosting Terms & Conditions (“Terms”) govern the provision of hosting and related managed technology services (“Services”) by QuickMSP LLC, a U.S.-based technology company in Wyoming, USA, providing managed and hosting services to clients worldwide.

For legal purposes, QuickMSP LLC is a limited liability company organized under the laws of the State of Wyoming, with its registered office at 1021 E Lincolnway, Unit 1230, Cheyenne, Wyoming 82001, USA, and contact email support@quickmsp.com.

QuickMSP may operate through affiliates or authorized partners in other regions as necessary to deliver global services.

By subscribing to or using any QuickMSP hosting service, the Client agrees to be bound by these Terms. Specific service orders or agreements may include additional terms that supplement or modify these Terms.

  1. Term and Termination

The term of the Agreement shall be as stated in the executed Service Agreement.

If the Service Agreement specifies a fixed term or lock-in period, this Agreement shall remain in force for that duration and may not be terminated before the end date except:

  • by mutual written consent of both Parties;
    • by either Party for material breach that remains uncured after fifteen (15) days’ written notice; or
    • by either Party if the other becomes insolvent or ceases business.

After the fixed term ends, the Agreement shall automatically continue on a month-to-month basis under the same terms unless either Party gives at least 30 days’ written notice of non-renewal.

If no fixed end date is specified, either Party may terminate this Agreement at any time with 30 days’ written notice.

Upon termination, all outstanding fees shall become immediately due and payable. QuickMSP may suspend or delete Client data 30 days after the termination date unless otherwise agreed in writing.

  1. Fees and Payment

Fees are as stated in the Service Agreement. Invoices are issued monthly in advance and payable within 15 days. Late payments may incur 1.5% monthly interest. QuickMSP may suspend services for non-payment.

  1. Client Responsibilities

Client retains ownership of all hosted data and must not use the Services to violate laws, send spam, host illegal content, or distribute malware. QuickMSP may suspend or remove content for violations. Client is responsible for credential security.

  1. Service Levels

QuickMSP targets 99.9% uptime excluding maintenance or force majeure. Clients are notified 24 hours before planned maintenance.

  1. Data Protection and Backups

QuickMSP implements commercially reasonable administrative, physical, and technical safeguards to protect Client Data hosted on its systems from unauthorized access, alteration, or disclosure.

QuickMSP shall not access, use, or disclose Client Data except as required to operate, maintain, or support the hosting environment, or as required by law.

The Client remains responsible for maintaining its own copies or backups of hosted data, unless enrolled in a separate Managed Backup Service governed by its own Backup Terms & Conditions.

Upon termination of hosting services, the Client may request a copy of its hosted data within thirty (30) days. After this period, QuickMSP may permanently delete all hosted data unless otherwise required by law or agreed in writing.

  1. Warranties and Disclaimers

Each party warrants authority to enter this Agreement. QuickMSP warrants services will be performed with reasonable skill and care. Except as stated, services are provided ‘as is’ without implied warranties of merchantability or fitness.

  1. Limitation of Liability

Neither party shall be liable for indirect or consequential damages. QuickMSP’s liability shall not exceed the total fees paid by Client in the three months preceding the claim.

  1. Confidentiality

Both parties shall keep proprietary information confidential. This obligation survives termination for two years.

  1. Force Majeure

QuickMSP is not liable for failure to perform due to events beyond its control, including natural disasters, internet failures, or government actions.

  1. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms shall first be resolved through good-faith negotiation. If unresolved, the matter shall be submitted to binding arbitration in English under the rules of the American Arbitration Association (AAA), with venue in Wyoming, USA, unless otherwise agreed by both parties in writing.

  1. Entire Agreement

These Terms and the executed Service Agreement constitute the entire agreement and supersede all prior understandings.
